1. EFFECTIVE DATE & TERM
This Agreement shall commence on the date on which the listing goes live. The Sponsorship end date shall be exactly 1 year after the driver is chosen by The Sponsor unless terminated earlier in accordance with the provisions of this Agreement.

2. PURPOSE
KARTR operates as a managed sponsorship marketplace connecting brands with amateur motorsport 
drivers. Under this Agreement, the Sponsor agrees to provide sponsorship to one or more drivers matched 
through the KARTR platform, on the terms set out herein. KARTR acts as marketplace platform but 
holds the agreement directly with the Sponsor and so the Sponsor will not have a direct agreement with 
the chosen Driver. The Sponsor agrees to not work with motorsport drivers externally of KARTR for the duration of sponsorships unless explicitly agreed in writing by KARTR.

3.YOUR LISTING

KARTR will use reasonable efforts to match the Sponsor with drivers who meet the Driver Requirements set out in the listing. However, KARTR cannot guarantee that all stated preferences will be met in every application received. Where an exact match is not available, KARTR will present drivers who closely meet the Sponsor's requirements, and the Sponsor retains full discretion to approve or decline any individual applicant. All eligible and closely matched drivers will be put forward for the Sponsor's consideration.

KARTR does not guarantee a minimum number of driver applications for any sponsorship brief. KARTR will use reasonable efforts to promote the opportunity to relevant drivers on the platform.

If the Sponsor is unable to find a suitable match within 30 days of the brief being posted, both parties will discuss in good faith whether to extend the listing, amend the brief, or bring the arrangement to a close.
 

4. PAYMENT & PLATFORM FEE

Where the sponsorship includes a cash element, the Sponsor agrees to pay the full cash amount plus KARTR's platform fee to KARTR upfront. KARTR will retain its platform fee (10%) and pay the remainder to the relevant driver(s) once their separate agreement has been confirmed.

Where the sponsorship is provided in the form of commission and free products, the Sponsor agrees to deliver the agreed products directly to the driver(s) as confirmed by KARTR. In cases where a Commission Sponsorship is listed, the Sponsor must pay £5 (Five Pounds) up-front per driver they wish to sponsor.

In the event that the Sponsor chooses less drivers than they paid for, KARTR will return the required amount.

All payments are due before a listing is to go live on the KARTR platform. KARTR's platform fee is non-refundable once driver selection has been confirmed, except in the circumstances described in section 9 or section 4.

5. DELIVERABLES & VERIFICATION
KARTR will confirm with the relevant driver(s) that the requirements set out in your listing has been met before releasing any held funds. The Sponsor agrees to provide reasonable notice of any event-specific requirements and to communicate directly with KARTR if they believe a deliverable has not been met.

Disputes regarding whether a deliverable has been met will be handled in accordance with this agreement. KARTR will provide the Sponsor with confirmation of delivery and any agreed proof of delivery materials as set out in your listing.

6. SPONSOR CONDUCT
The Sponsor agrees not to contact drivers directly to renegotiate, amend, or cancel the terms of any sponsorship outside of the KARTR platform without KARTR's prior written consent. The Sponsor shall not require drivers to promote any product, service, or message that is unlawful, harmful, misleading, or contrary to applicable advertising standards. The Sponsor agrees to supply any agreed products, services, or materials to drivers in a timely manner and in the condition described in this Agreement.
 

7. CANCELLATION & REFUNDS
If the Sponsor cancels after driver selection has been confirmed but before any deliverables have been completed, KARTR's platform fee will be retained, and the remaining driver payment will be returned to the Sponsor at KARTR's discretion.

 

Where a driver fails to fulfil the agreed requirements, KARTR will use reasonable efforts to resolve the matter, including withholding payment to the driver until deliverables are satisfied. KARTR does not guarantee a refund to the Sponsor in such circumstances. Any decision to offer a partial refund or goodwill gesture remains at KARTR's sole discretion and does not set a precedent for future 
arrangements.

 

No refund will be issued where deliverables have been completed in full by the driver.
 

8. DISPUTE RESOLUTION
In the event of a dispute between the Sponsor and a driver regarding deliverables or conduct, both parties agree to notify KARTR in writing. KARTR will act as a neutral facilitator to seek a resolution in good faith. Where a resolution cannot be reached through facilitation, either party may pursue the matter through the courts of England and Wales.

9. INTELLECTUAL PROPERTY
The Sponsor grants KARTR and any matched driver(s) a limited licence to use the Sponsor's name, logo, and approved brand materials solely for the purposes of fulfilling the requirements set out in your listing. Any content created by drivers in fulfilment of their obligations (social posts, photography, video) remains the intellectual property of the driver unless otherwise agreed in writing between the Sponsor and the driver directly.

KARTR reserves the right to reference the Sponsor by name as a brand using the KARTR platform for its own promotional purposes, unless the Sponsor requests otherwise in writing.

10. LIABILITY

KARTR acts solely as a marketplace facilitator and is not liable for the actions, conduct, or performance of any driver matched through the platform beyond the obligations set out in this Agreement. KARTR's total liability to the Sponsor shall not exceed the total platform fee paid by the Sponsor under this Agreement. Neither party shall be liable for indirect, consequential, or loss of profit claims arising from this Agreement.

 

Nothing in this Agreement limits liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

11. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior discussions, representations, or agreements. Any amendments must be made in writing and signed by authorised representatives of both parties.

13. AUTHORITY TO LIST
You warrant that they have full authority to enter into this Agreement on behalf of the entity they represent.
